Among the most frequent—and avoidable—sources of regulatory delay is the intersection between NASDAQ initial listing qualification and FINRA Rule 5110 (the Corporate Financing Rule).
FINRA Rule 5110 requires that underwriting terms and arrangements in connection with a public offering be fair and reasonable. Critically, regulators examine all items of value received by underwriters, placement agents, and related persons within the 180-day window preceding the initial filing of the registration statement. Unstructured bridge financings, advisory warrants, or consulting agreements executed during this pre-filing period can inadvertently be aggregated into total underwriting compensation—triggering comment letters that stall FINRA’s No Objections Letter and hold up NASDAQ listing clearance.
